Summary of Only Representative Service Agreement
including basic Terms & Condition**.

Part A: The non-EU manufacturer
Part B: Wellkang Tech Consulting

§ 1 Appointment
Part A explicitly appoints Part B as Part A's Only Representative per Article 8 of REGULATION (EC) No.1907/2006 (REACH).

§ 2 The Only Representative
§ 2.1
Part B shall fulfil the obligations on EU importers of Part A per paragraph 1 of Article 8.
§ 2.2
Per paragraph 2 of Article 8, Part B shall keep available and up-to-date information on quantities imported and customers sold to as well as information on the supply of the latest update of the safety data sheet referred to in Article 31.
§ 2.3
Part B shall pre-register the existing ('phase-in') substances, and/or register new ('non phase-in') substances, and/or existing substances (that have not been pre-registered) of Part A in a timely manner within the permitted deadlines set by the EU competent authorities. 
§ 2.4
Part B shall publish this representation relationship at website http://www.reachOR.com for online verification by third parties such as EU Authorities, importers, distributors and customers.

§ 3 The Non-EU Manufacturer
§ 3.1
Per paragraph 3 of Article 8, Part A shall inform the importer(s) within the same supply chain about this appointment.
§ 3.2
Part A shall provide Part B with lawful, true, accurate and up-to-date information required by the EU authorities.
§ 3.3
Part A shall inform immediately Part B of any fundamental or significant changes related to the information required by the EU authorities.
§ 3.4
Part A shall hold Part B free and harmless against any liability claims resulting from any products/substances/articles which have been directly manufactured by or indirectly manufactured for and on behalf of Part A.

§ 4 Duration of the Agreement
This Agreement is for the duration of three (3) years. It may be terminated by either party at any time upon giving ninety (90) calendar days written notice.

§ 5 Substance Coverage
This Agreement applies only to the substances listed in the Letter of Designation (in § 9)

§ 6 Fee Structure/Remuneration
The fees are some as shown at our online shop.

§ 7 Confidentiality/Non-Disclosure Agreement

§ 8 Jurisdiction
England, The United Kingdom of Great Britain and Northern Ireland.

§ 9 Letter of Designation

*As soon as REACH-IT has be enabled for submission of Late Pre-registrations from 5 January 2009, we will submit your Late Pre-registration of "phase in" substances within 24 hours after we have received your list of substances (on Excel Worksheet) with correct tonnage band, substance name, EC number and, where applicable, CAS number.
** A standard OR Agreement will be mutually signed later.
